Terms of Service

Effective August 25, 2026

These Terms of Service (“Terms”) are an agreement between you and Vizion Entertainment LLC (“Vizion,” “we,” “us,” or “our”). They govern your access to and use of Vizion, ShowMerch, our websites, applications, APIs, communications, commerce features, and other services that link to these Terms (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Eligibility and authority

You must be at least 13 years old and legally able to enter a binding agreement to use the Services. If the law where you live requires a higher minimum age or parental consent, that requirement applies. If you use the Services for an organization, you represent that you are authorized to accept these Terms for that organization.

2. Accounts, security, and communications

You may need an account to use some Services. You agree that all account and purchase information you provide is correct, complete, and current. You must safeguard your account, use a strong and unique password, and limit that password to your Vizion account. Each person must use their own account unless a Service expressly permits another arrangement; use workspace invitations and permissions instead of sharing credentials.

You are responsible for activity under your account to the extent caused by your failure to safeguard it. If an account is shared with someone who is not the account holder, compromised, or used deceptively, Vizion may suspend it for as long as reasonably necessary, including indefinitely where warranted by security, fraud, or repeated violations. Payments associated with a suspension for cause are non-refundable except where required by law or the applicable purchase terms. If you believe your account is compromised, promptly email support@vizion.app.

We may send service announcements, security alerts, transaction notices, and administrative messages. These communications are part of the Services and may not offer an opt-out. Marketing messages will include available opt-out controls where required. If you provide a phone number and later change or deactivate it, you must promptly update your account so we do not contact someone who later acquires that number. To the maximum extent permitted by law, Vizion is not responsible for loss caused by your failure to comply with this section.

3. The Services and changes

The Services provide tools for music projects, collaboration, files, credits, calendars, marketing, touring, merchandise, professional connections, contracts, and related workflows. We may add, modify, suspend, or discontinue any part of the Services. When reasonably practical, we will provide notice before a material change affects paid access. We are not liable for a modification, price change, suspension, or discontinuance except as required by law or an express written commitment.

4. Your Content, licenses, and responsibility

“Content” means music, recordings, artwork, files, messages, comments, data, product information, and other material available through the Services. “Your Content” means Content you submit, post, display, transmit, or otherwise make available through the Services. You retain ownership of Your Content. You grant Vizion a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and otherwise use Your Content only as needed to operate, secure, improve, and provide the Services you request. This license ends when Your Content is deleted, except for copies reasonably retained in backups, legal records, completed transactions, or content shared with others who have not deleted it.

You represent and warrant that you have obtained all rights, licenses, consents, permissions, power, and authority necessary to provide Your Content and grant the license above. Your Content must not include material protected by copyright, trademark, privacy, publicity, confidentiality, or other proprietary rights unless you have permission or are otherwise legally entitled to use it and grant Vizion the required license.

You are responsible for your use of the Services, Your Content, and compliance with applicable laws, rules, regulations, and agreements. Only provide Content you are comfortable sharing with its intended recipients. Any use of or reliance on Content obtained through the Services is at your own risk. Vizion does not endorse or guarantee the completeness, truthfulness, accuracy, reliability, or opinions of user or third-party Content or communications.

5. Content moderation, reports, and legal requests

Vizion may not monitor or control all Content and has no general obligation to do so. To the maximum extent permitted by law, Vizion is not responsible for Content submitted by users or third parties. We may review, restrict, remove, or disable access to Content that we reasonably believe violates these Terms, infringes copyright or trademark rights, impersonates another person, involves unlawful conduct or harassment, creates risk, or is otherwise objectionable.

To report Content or account conduct, or to appeal a moderation decision, email support@vizion.app with enough information for us to locate the material and understand the issue. We may access, read, preserve, use, or disclose information when we reasonably believe it is necessary to comply with law, regulation, legal process, or a valid government request; enforce or investigate potential violations of these Terms; detect or address fraud, security, or technical issues; respond to support requests; or protect the rights, property, or safety of Vizion, our users, or the public. We disclose personal information only as described in our Privacy Policy and applicable law.

6. Acceptable use and platform security

You may not, directly or indirectly:

  • violate law, intellectual-property rights, privacy rights, contractual obligations, or these Terms;
  • harass, threaten, defraud, impersonate, exploit, or mislead another person;
  • access, tamper with, or use non-public areas of the Services, Vizion systems, or our providers’ technical delivery systems;
  • probe, scan, or test the vulnerability of a system or network, or breach or circumvent a security or authentication measure;
  • access or search the Services through automated or other means except through Vizion’s currently available published interfaces and instructions, a separate written agreement, or crawling permitted by our robots.txt file;
  • scrape, harvest, or extract Content, account data, contact information, or platform data without Vizion’s prior written permission;
  • forge a TCP/IP packet header or any part of the header information in an email or posting, or send altered, deceptive, or false source-identifying information;
  • interfere with or disrupt any user, host, or network, including by introducing malware, overloading, flooding, spamming, mail-bombing, or scripting Content creation that creates an undue burden;
  • reverse engineer or circumvent technical restrictions except to the limited extent applicable law expressly permits; or
  • use the Services to send unlawful spam or misleading commercial communications.

7. Vizion intellectual property and use restrictions

The Services, including Vizion software, design, branding, platform Content, and the selection, coordination, and arrangement of compilations such as catalogs of works, names, releases, and contact information, are owned by Vizion or our licensors and protected by intellectual-property, database, unfair-competition, and other laws. This does not give Vizion ownership of Your Content or of underlying facts that are not protectable by law.

Subject to these Terms, Vizion grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. Without our express written permission, you may not reproduce, duplicate, copy, sell, resell, publish, distribute, commercially or non-commercially exploit, or create a substitute for any portion of the Services, access to the Services, Vizion’s protected compilations, or contact information obtained through the Services.

8. Service information and historical material

Information made available through the Services may not always be accurate, complete, or current. General or historical material is provided for reference and should not be the sole basis for an important decision when more accurate, complete, current, or primary sources are available. Your reliance on such material is at your own risk. We may modify site contents at any time and are not obligated to update every item unless applicable law or an express written commitment requires it. You are responsible for reviewing changes relevant to your use of the Services.

9. Third-party services, links, and tools

The Services may connect to or include materials, websites, products, services, and tools from third parties. Vizion does not control or necessarily monitor them, and their own terms and privacy practices govern. We do not endorse or warrant third-party content, accuracy, availability, products, or services. To the maximum extent permitted by law, Vizion is not liable for harm or damage arising from third-party materials, websites, purchases, resources, or transactions. Review the third party’s policies before using its services and direct product-specific complaints to the responsible third party.

Third-party tools are provided “as is” and “as available,” without Vizion warranties or endorsement. Your use is at your own risk and discretion, and you are responsible for understanding the provider’s terms. New third-party tools, resources, and features offered through the Services are also subject to these Terms. By using features powered by Google Maps, you also agree to the Google Maps/Google Earth Additional Terms of Service.

10. Feedback, comments, and other submissions

If you send Vizion ideas, suggestions, proposals, plans, feedback, contest entries, or other submissions about Vizion or the Services (“Feedback”), you grant Vizion a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, sublicensable, and transferable license to edit, copy, publish, distribute, translate, and otherwise use that Feedback in any medium without restriction. Unless we agree otherwise in writing, Vizion has no obligation to keep Feedback confidential, pay compensation, or respond. This Feedback license does not apply to music, recordings, artwork, or other Your Content submitted for use within the Services rather than as Feedback.

Feedback and comments must not violate third-party copyright, trademark, privacy, publicity, or other rights; contain unlawful, libelous, abusive, obscene, or malicious material or malware; use a false email address; impersonate someone else; or mislead Vizion or others about their origin. You are solely responsible for Feedback and comments you provide and their accuracy. Vizion may, but is not obligated to, monitor, edit, or remove them and, to the maximum extent permitted by law, assumes no liability for submissions made by users or third parties.

11. ShowMerch products and orders

ShowMerch may facilitate products sold, stocked, or fulfilled by independent merchants and other third parties. The applicable listing or checkout will identify the seller or otherwise explain the parties’ roles. Unless Vizion is expressly identified as the seller, the merchant is responsible for its inventory, product descriptions, pricing, product quality, warranties, fulfillment, returns, and customer support. Product images and colors are illustrative and may vary because of screens, photography, production, or supplier changes. Inventory and quantities may be limited, and merchants may change prices before an order is accepted.

Vizion or the applicable merchant may modify or discontinue a product, limit sales by person, household, account, payment method, address, geographic region, or jurisdiction, limit quantities, reject suspected dealer, reseller, distributor, fraudulent, or unlawful orders, and treat offers as void where prohibited. We or the merchant may refuse, cancel, or modify an order because of an incorrect price or listing, unavailable inventory, failed delivery, payment or fraud concerns, destination-country import restrictions, or other legal or operational limitations. When an order changes or is canceled, the responsible party may attempt to notify you using the contact or billing information provided and will issue any refund required by applicable law and the governing refund policy.

You agree to provide current, complete, and accurate account, purchase, payment, billing, shipping, and contact information and to promptly update it, including payment-card expiration dates. If a third-party merchant’s item materially differs from its listing, is defective, or is not delivered, contact that merchant under its return and support policies; Vizion may help route the request but is not responsible for the merchant’s acts or omissions unless applicable law provides otherwise. We do not guarantee that third-party products or services will meet your expectations or that every listing or service error will be corrected. Nothing in this section limits a mandatory consumer right, refund, warranty, or remedy.

12. Fees, purchases, and subscriptions

Prices, billing intervals, taxes, renewal terms, and cancellation options will be shown before purchase. You authorize Vizion and our payment providers to charge the selected payment method. Except where required by law, stated in a specific offer, or provided by the applicable seller’s terms, fees are non-refundable after the relevant service has been provided. Separate seller, merchant, fulfillment, or vendor terms may apply to marketplace and merchandise transactions.

13. Developer and API features

If Vizion makes developer features available, including a Sales API or another API, you may use them only through the interfaces, credentials, documentation, rate limits, and instructions we provide. Your use may require acceptance of a separate Developer Agreement, Developer Policy, or other terms presented when access is granted. Except as permitted by those materials or a written agreement with Vizion, you may not reproduce, modify, create derivative works from, distribute, sell, transfer, publicly display or perform, transmit, or otherwise use the Services or Content. Use of any future advertising features may require a separate master services or advertising agreement.

14. Suspension and termination

You may stop using the Services at any time and may request account deletion. We may restrict, suspend, or terminate access if you breach these Terms, create security risk or legal exposure, fail to pay amounts due, share an account without authorization, or misuse the Services. When practical, we will provide notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will survive, including provisions concerning ownership, licenses already granted, payments, disclaimers, liability, indemnity, and general legal terms.

15. Privacy and electronic communications

Our Privacy Policy explains how we handle personal information, and our Cookie Notice explains browser storage and feature-triggered third-party services. These notices should be read with these Terms.

16. Disclaimers

To the maximum extent permitted by law, the Services and third-party tools made available through them are provided “as is” and “as available.” Vizion disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free operation, particular commercial results, the accuracy of user or third-party Content, or that products or services will meet your expectations. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

17. Limitation of liability

To the maximum extent permitted by law, Vizion will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Vizion’s aggregate liability arising from the Services will not exceed the greater of US $100 or the amount you paid Vizion for the Services during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

18. Indemnity

To the extent permitted by law, you will defend and indemnify Vizion and its personnel against third-party claims arising from Your Content, your unlawful use of the Services, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Vizion’s own conduct.

19. Governing law

Delaware law governs these Terms, without regard to conflict-of-laws principles. Courts located in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any appropriate jurisdiction and applicable consumer law may give you rights to bring a claim elsewhere.

20. Severability, no waiver, assignment, and entire agreement

If any provision of these Terms is found unlawful, void, or unenforceable, it will be limited or eliminated only to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Vizion’s failure to enforce a right or provision is not a waiver. You may not assign these Terms without Vizion’s prior written consent; Vizion may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. These Terms and any additional terms expressly incorporated into them are the entire agreement between you and Vizion concerning the Services and supersede prior agreements about the same subject.

21. Changes to these Terms

We may update these Terms. If a change is material, we will provide reasonable notice, such as by email or an in-product notice, before it takes effect. The effective date above identifies the current version. If applicable law requires renewed consent, we will ask for it.

22. Generative AI Policy

Vizion will NEVER use user content to train generative AI models. Vizion will NEVER use generative AI models to create content. We firmly believe in human creativity and the importance of protecting the rights of content creators. Our commitment to this principle ensures that your work remains your own, and we will not exploit it for Generative AI training or content generation purposes. The only AI models used by Vizion are predictive models that utilized to provide you with recommendations and connect you with the right profesionals. Any artist (musicians, cover artists or otherwise), professionals or other entities found to utilize generative AI models throughout any part of their creative process will be subject to immediate account suspension and/or termination without any refund. Vizion is committed to maintaining a platform that prioritizes human creativity and the integrity of artistic expression.

23. Prohibited Uses, Damaged and Fines

In addition to the other prohibitions as set forth in the Terms of Service, copying and scraping of any content on Vizionin a manual or automated manner, is expressly prohibited without the prior written consent of Vizion Entertainment LLC is strictly prohibited. Any unauthorized use of the content may violate copyright, trademark and other laws. We reserve the right to take legal action against anyone who violates this provision. Any parties copying public or private content on Vizion, with or without the use an account, hereby agrees to pay VIZION ENTERTAINMENT LLC all injunctive relief, damages and loss within 30 (thirty) days of being notified.

Uploading Vizion owned content, including but not limited to data, designs, screenshots, images, logos, audio files to generative AI platforms is strictly prohibited. You hereby agree that violation of this provision will result in a 10,000$ (Ten Thousand USD) fine per incident, in addition to all other injunctive relief, damages and loss to be paid to Vizion Entertainment LLC within 30 (thirty) days of being notified.
